Territory
A dealership is granted for a named district or area, either exclusive or shared, and this is stated in your appointment letter.
Where a territory is exclusive we will not appoint another dealer inside it. In return we ask that you do not solicit business inside another dealer’s exclusive territory. Cross-territory selling is the fastest way to break a dealer network and is treated seriously.
Pricing and margin
Dealer pricing sits below the wholesale tier and is set to contain your resale margin. It is confidential to your dealership on the same terms as trade pricing.
We publish recommended resale prices. They are recommendations. You are free to price as you judge your market, but sustained selling below dealer cost destabilises neighbouring territories and will be discussed.
Targets and rebates
A monthly target is agreed in volume or value. Achievement is measured against invoiced despatches in the period, not orders placed.
Rebates are slab-based on target achievement and are credited to your ledger after the period closes. Your portal shows target, achieved and projected rebate throughout the period, so the figure is never a surprise.
Ledger and credit
Your ledger records every invoice, payment, rebate and adjustment. Corrections are made by posting a reversing entry, never by editing history — so the ledger you see is the ledger we see.
Credit limit and terms are stated in your appointment letter. Exceeding the limit blocks further credit orders until the balance is brought within it.
Ending a dealership
Either side may end the arrangement with 30 days’ written notice. We will fulfil orders already accepted and settle the ledger, including rebates earned up to the termination date.
We may terminate immediately for breach of territory exclusivity, redistribution of confidential pricing, misrepresentation of the specification to your customers, or non-payment beyond agreed terms.
On termination, unsold stock in saleable condition and original packaging may be returned at the price you paid, less carriage.
